Company legislation offers the advantage of limited liability, ensuring that a company’s legal identity remains separate from its owners and directors.

In return for this protection, companies must make certain information publicly available—such as annual accounts, the registered office address, and details of directors, members, and the company secretary (if appointed). While the role of company secretary is no longer mandatory for private companies, these responsibilities must still be fulfilled, typically by someone within the organisation or an external provider like us.

The company secretary and Companies House

The company secretary, or the individual responsible for secretarial duties, acts as a key liaison with Companies House, which maintains the public record of a company’s legal status and key details.

Most filings are now submitted digitally via Companies House WebFiling or approved software. As Companies House transitions to 100% digital filing, only limited forms are still available in printable format, with clear guidance on which submissions must now be made electronically.

Although company law does not list a specific set of duties for secretarial roles, the responsibilities typically fall into three main categories:
